MATERIAL FACT

 Joinville, July 20^th, 2021 – NEOGRID PARTICIPAÇÕES SA, (“Company” or “Neogrid”), in compliance with CVM Instruction No. 358, announces to the market the signing of the agreement for investment between its subsidiary Neogrid Informática Ltda. and the shareholders of GRG Inovações e Tecnologia S.A. (“Horus”), to confirm investment in Horus, as well as call options to acquire the control and complete capital of Horus (“Transaction”).

Horus is a SaaS market intelligence company, which has solutions to deliver strategic insights to its customers, whether industry or retail, about the profile and habits of consumers, creating a consumer data platform including prices, products, brands , categories, volume and presence at the point of sale.

The investee recorded revenues of BRL 7.4 million in 2020, which represents a CAGR greater than 140% in the last 03 years. With the Transaction, Neogrid expands its offer of technology solutions to the market and begins to explore synergies by developing Horus’ growth potential, integrating it to the ecosystem of data and companies connected to Neogrid’s platform.

The structuring of the Transaction involves a capital increase and acquisition of equity interest. An amount of 6,000,000.00 (six million reais) will be allocated to Horus’ cash to finance business expansion projects, and R$ 1,000,000.00 (one million reais) paid to sellers. Neogrid acquires 24.14% of Horus’ capital, in addition to call options to hold 51% and 100% of Horus, with maturities in 18 and 30 months, respectively.

Horus’ entrepreneurs continue in executive positions, engaged in developing the company with the support and synergies added by Neogrid.
